SCRIPT Code License Agreement

You should carefully read the following terms and conditions before opening the diskette package(s). Opening the diskette package(s) indicates your understanding and acceptance of all the following terms and conditions. If you do not agree with them, you may promptly return the diskette package(s) unopened and all associated materials to the place where you obtained them for a full refund.

Contents: This product contains computer programs and data recorded on diskettes (herein referred to as the Software), the diskettes themselves, and associated materials which will be referred to, collectively, as the Software Product. The Software refers to the contents of all diskettes provided by The Symmetry Group including updates, upgrades, and subsequent copies, regardless of the media on which the original or other copies exist.

Grant of License: The Symmetry Group grants you, the Licensee, the right to use this Software Product. You may use this Software on only one computer (i.e. a single CPU) at a time.

Ownership and Copyrights: This Software is owned by The Symmetry Group. The Software Product is copyrighted by the Symmetry Group and is protected by United States copyright laws and international treaty provisions.

Copyright Notice: The "Copyright Notice" used below may be either the copyright notice that appears on the diskette label of this Software Product or your own copyright notice, provided your license does not allow End Users to make copies of your software except one copy for backup.

Distribution Rights: The Symmetry Group grants you limited Distribution Rights described in the following provisions:

You may make one copy of the Software solely for backup purposes.

You may distribute parts of the Software specifically named in Schedule A of this License (herein referred to as Libraries) to your customers (herein called End Users), subject to the following restrictions: (The absence of Schedule A shall indicate that no part of the Software may be distributed as Libraries.)

You may only distribute these Libraries in conjunction with and as a part of your own software products.

You must incorporate or link them with your own programs in such a manner as to make them unsuitable for incorporation into other programs or software.

You must include a valid Copyright Notice on your software product.

You may distribute parts of the Software specifically named in Schedule B of this License (herein referred to as Support Software) to your customers (herein called End Users), subject to the following restrictions: (The absence of Schedule B shall indicate that no part of the Software may be distributed as Support Software.)

You may only distribute this Support Software in conjunction with and as a part of your own software products.

You may modify the Support Software subject to the following limitations: You must not modify or remove copyright notices or serial numbers that may be included within the software or displayed on the screen.

You must include a valid Copyright Notice on your software product.

You may distribute parts of the Software specifically named in Schedule C of this License (herein referred to as Source Code) to your customers (herein called End Users), subject to the following restrictions: (The absence of Schedule C shall indicate that no part of the Software may be distributed as Source Code.)

You may only distribute the Source Code in conjunction with and as a part of your own software products.

You must compile or assemble the Source Code and incorporate or link the resulting object code with your own programs in such a manner as to make the object code unsuitable for incorporation into other programs or software.

You may not distribute the original Source Code or any derivative of the Source Code or the resulting object code, except as allowed above.

You must include a valid Copyright Notice on your software product.

Distribution by Others: The Distribution Rights described above belong to you, the Licensee of the Software Product. You may not give the Distribution Rights to others except by Transfer of License as described below.

Transfer of License: You may permanently transfer this License to another person by meeting the following conditions: You must transfer the Software Product to the receiving person and destroy all other copies. The person receiving it must agree in writing to the terms of this License by completing and signing the transfer of License section of the Product Card provided with the Software Product. You do not need to destroy the parts of the Software that you have distributed within the provisions of this License and that are no longer in your possession or control.

Other Restrictions: You may not rent or lease this Software Product.

Indemnification: If you distribute any part of the Software or use it to generate any program or data that you subsequently distribute, you agree to indemnify, hold harmless, and defend The Symmetry Group from and against all claims or lawsuits, including attorney's fees, that may arise or result from such distribution during or after the term of this License.

Term of License: This License is effective until terminated. You may terminate it at any time by destroying the Software and all copies that you may have made. This License will also terminate automatically, without notice from The Symmetry Group if you fail to comply with the provisions of this License. Upon termination, you shall destroy the Software and all copies that you have made. You do not need to destroy the parts of the Software that you have distributed within the provisions of this License and that are no longer in your possession or control.

Disclaimer of Warranty and Limited Warranty: If, after accepting the terms of this License agreement, you are dissatisfied with this Software Product, you may return it to the place where you obtained if for a full refund provided:

You return the complete Software Product within 30 days of the purchase.

You return or destroy all copies of the Software including any parts that may have been distributed within the provisions of this License and attest that all copies have been returned or destroyed.

With the exception of the above return policy, The Symmetry Group makes no representation or warranties to Licensees or End Users, with respect to the Software Product and specifically disclaims any implied warranties of merchantability or fitness for any particular purpose. The Symmetry Group shall have no liability or responsibility to Licensees or End Users, for damages of any kind, including special, indirect, or consequential damages resulting from any program, services, or materials made available hereunder or the use or modification thereof.

This Software Product could contain technical inaccuracies or typographical errors. The Symmetry Group reserves the right to revise this Software Product from time to time in the content thereof without obligation of The Symmetry Group to notify any person of such revision or change.

General: This License shall be governed by the laws of the State of Ohio. This License may only be modified in writing signed by you and an authorized representative of the Symmetry Group.

U. S. Government Restricted Rights: This Software Product is provided with RESTRICTED RIGHTS. Use, duplication or disclosure by the Government is subject to restrictions as set forth in subdivision (b)(3)(ii) of the Rights in Technical Data and Computer Software clause at 252.227-7013.
